Service agreement

  1. DURATION OF THE AGREEMENT

The agreement for the web services described below is for a period of 12 months, beginning on the date agreed upon by the parties, in accordance with the terms and conditions listed below.

  1. MONTHLY PAYMENTS AND CONDITIONS

The first monthly payment is due by credit card withdrawal on the date agreed upon by the parties, and consecutively on the same day of each following month for the entire duration of the contract and its renewals, if any.

  1. 90-DAY GUARANTEE

Local Map is a solution for improving the client’s reputation and visibility, the effectiveness of which is primarily dependent on the quality of the client’s use of the tool.

The guarantee stipulates that IF the client uses the tool as required*, Local Map guarantees the client will be positioned in the top 3 of their business sector and region within a period of less than 90 days. Should this not be achieved, Local Map will refund the first 3 payments made, and the client may terminate this agreement, notwithstanding the clauses provided in section 4 of this agreement.

* As required: The client must use the tool to send review requests on a regular and consistent basis. Furthermore, the client must, within a reasonable timeframe, designate Local Map as an Owner or Manager of their Google Business Profile to allow for its optimization. The Google Business Profile must also be associated with a physical address. The 90-day guarantee does not apply to the creation of a new Google Business Profile.

  1. DURATION AND RENEWAL

The contract is for a period of twelve (12) months, beginning upon signature of this contract. Upon expiration, this contract will be automatically renewed for subsequent 12-month periods, unless one of the parties gives the other written notice (email to: info@Localmap.com or registered mail to: 1305 Bd Lebourgneuf suite 300, Québec, QC G2K 2E4) of non-renewal at least 30 days before the end of the initial term or any subsequent renewal of this contract.

The client may terminate this contract at any time. The client will pay Local Map fifty percent (50%) of the applicable monthly payments for each month remaining in the current term of this contract.

In the event of non-renewal or termination, it is understood that the client will lose access to Local Map’s tools, which remain the exclusive property of Local Map.

  1. LOCAL MAP’S OBLIGATIONS

The client acknowledges that for the purpose of promoting its services, Local Map may communicate data, including statistics, performance estimates, and other types of information, that illustrate the results obtained by some Local Map clients. Local Map declares that this data is accurate to the best of its knowledge and that it was obtained from reliable and independent sources. The client also acknowledges that this data is communicated for informational purposes only, and therefore, that the results obtained by the client may differ.

  1. LIABILITY

The client agrees to indemnify Local Map against all liabilities for damages or claims arising directly or indirectly from Local Map’s performance of this contract.

The client is informed:
– that the opinion issued by the lawyer consulted by Local Map is not binding on the courts and that no guarantee is represented to it by Local Map or that lawyer as to the interpretation that the courts will give to the regulatory provisions discussed in that opinion.
– that the distribution of this opinion does not constitute or create any professional relationship between that lawyer and the Client.
– that it is recommended to obtain the advice of their own lawyer before taking decisions or measures likely to have legal repercussions.

  1. COLLABORATION

The client agrees to provide all the information required and necessary for Local Map to properly perform its service.

  1. AUTHORIZATION WARRANTIES

The client warrants that it holds all permits and licenses that may be advertised. The client further warrants that it holds all rights to use the trademarks or trade names contained in its Google listing and that such use does not violate any law.

  1. ASSIGNMENT OF CONTRACT

Local Map may assign this contract or any of its obligations and any payments due hereunder to a third party without the prior written consent of the client.
