The agreement for the web services described below is for a duration of 12 months, starting on the date agreed upon by both parties, subject to the following terms and conditions.
The first monthly payment is due via credit card on the date agreed upon by both parties and will continue to be charged on the same day of each following month for the entire duration of the contract and its renewals, if applicable.
Local Map is a solution that enhances the client's reputation and visibility, which primarily depends on how effectively the client uses the tool.
The guarantee states that IF the client uses the tool properly*, Local Map guarantees the client's placement in the top 3 of their business sector and region within 90 days. Otherwise, Local Map will refund the first three payments made, and the client may terminate this contract regardless of the provisions outlined in Section 4 of this agreement.
* Proper use:
The contract is for a term of twelve (12) months beginning upon signing. At the end of this term, the contract will automatically renew for successive 12-month periods unless either party provides written notice of non-renewal (by email to: info@Localmap.com or by registered mail to 1305 Bd Lebourgneuf, Suite 300, Québec, QC G2K 2E4) at least 30 days before the end of the initial term or any subsequent renewal.
The client may terminate this contract at any time. In the event of termination, the client agrees to pay Local Map fifty percent (50%) of the applicable monthly fees for each remaining month in the current term of the contract.
In the event of non-renewal or termination, the client understands that they will lose access to the Local Map tools, which remain the exclusive property of Local Map.
The client acknowledges that, for promotional purposes, Local Map may share data—including statistics, performance estimates, and other types of information—illustrating results obtained by some of its clients. Local Map declares that this data is accurate to the best of its knowledge and that it comes from reliable and independent sources.
The client also acknowledges that this data is shared for informational purposes only, and therefore, the results obtained by the client may differ.
The client agrees to hold Local Map harmless from any liability for damages or claims arising directly or indirectly from the execution of this agreement by Local Map.
The client is informed:
The client agrees to provide all necessary information required by Local Map to properly perform its services.
The client guarantees that they hold all permits and licenses that may be advertised. The client also guarantees that they hold all rights to use the trademarks or trade names included in their Google Business Profile and that this use does not violate any laws.
Local Map may assign this contract or any of its obligations and payments due under it to a third party without the prior written consent of the client.
In the event of payment default for unpaid amounts, the outstanding balance will bear interest at a rate of 24% per annum (2% per month).
In addition, as a penalty clause, any unpaid amount that must be forwarded to a collection agency or lawyer will be automatically increased by 40% (forty percent) to cover administrative management fees and collection costs incurred by Local Map.
The signatory hereto, if acting as a representative of a legal entity (company), declares to personally stand as joint and indivisible surety for all financial obligations contracted by the client to Local Map under this contract, waiving the benefits of discussion and division.
