TERM OF AGREEMENT

The agreement for the web services described below has a term of twelve (12) months, beginning on the date agreed upon by the parties, in accordance with the terms and conditions set forth herein.

MONTHLY PAYMENTS AND CONDITIONS

The first monthly payment is due via credit card charge on the date agreed upon by the parties and subsequently on the same day of each month for the duration of the contract and any renewals, if applicable.

90-DAY GUARANTEE

Local Map is a solution that improves the client’s reputation and visibility, which primarily depends on the quality of the client’s use of the tool.

The guarantee states that IF the client uses the tool as intended*, Local Map guarantees the client’s placement in the Top 3 of their industry and region within 90 days. Otherwise, Local Map will refund the first three (3) payments made, and the client may terminate this contract notwithstanding the provisions set forth in section 4 of this agreement.

* As intended means the client must use the tool to regularly and consistently send review requests. Additionally, the client must, within a reasonable time, designate Local Map as an Administrator/Owner of their Google Business Profile in order to proceed with its optimization. The Google profile must also be associated with a physical address. The 90-day guarantee does not apply when creating a new Google Business Profile.

TERM AND RENEWAL

The contract has a term of twelve (12) months starting on the date of signature. Upon expiration, this agreement will automatically renew for successive twelve (12) month periods unless one of the parties provides the other with written notice (via email to info@localmap.com or registered mail to 1305 Bd Lebourgneuf, Suite 300, Québec, QC, G2K 2E4) of non-renewal at least thirty (30) days before the end of the initial term or any subsequent renewal term.

The client may terminate this contract at any time. The client shall pay Local Map fifty percent (50%) of the applicable monthly fees for each month remaining in the current term of this agreement.

In the event of non-renewal or termination, the client will lose access to Local Map’s tools, which remain the exclusive property of Local Map.

LOCAL MAP’S OBLIGATIONS

The client acknowledges that, for the purpose of promoting its services, Local Map may share data, including statistics, performance estimates, and other types of information, illustrating the results achieved by some of its clients. Local Map states that such data is accurate to the best of its knowledge and has been obtained from reliable and independent sources. The client further acknowledges that this data is provided for informational purposes only and that the results obtained by the client may vary.

LIABILITY

The client agrees to hold Local Map harmless from any liability for damages or claims arising directly or indirectly from Local Map’s performance of this agreement.

The client is informed that:

Any opinion provided by an attorney consulted by Local Map is not binding on the courts, and no guarantee is made by Local Map or said attorney as to the interpretation the courts may give to the regulatory provisions discussed in such opinion.

The distribution of such opinion does not constitute or create any attorney-client relationship between that attorney and the client.

It is recommended that the client obtain the advice of their own attorney before making decisions or taking actions that may have legal consequences.

COOPERATION

The client agrees to provide all information required and necessary for Local Map to perform its services properly.

AUTHORIZATION GUARANTEES

The client guarantees that they hold all permits and licenses that may be advertised. The client also guarantees that they have all rights to use the trademarks or trade names contained in their Google Business Profile and that such use does not violate any laws.

ASSIGNMENT OF AGREEMENT

Local Map may assign this agreement or any of its obligations, as well as any amounts payable under it, to a third party without the prior written consent of the client.
